Kondracki Celej and Sparring are partnering to provide coordinated legal advice to startups, technology companies and venture investors working across Poland and the United States. The collaboration covers cross-border financings, U.S. expansion and M&A.
The partnership combines Kondracki Celej’s experience in Polish venture capital and technology transactions with Sparring’s U.S. legal capabilities. The firms remain independent, working through coordinated teams on joint client matters.
The starting point is the client’s business plan, whether that involves preparing for a financing round, considering a U.S. structure or developing U.S. operations. The teams coordinate Polish and U.S. workstreams, including corporate structuring, financing documentation, shareholder arrangements and intellectual property matters. Support can continue beyond closing as the company’s legal needs develop.
The collaboration builds on previous joint work. Kondracki Celej advised ForActive on its US$3.6 million seed financing, with Sparring supporting the U.S. legal aspects. The teams also worked together on bValue’s US$10 million investment in Fudo Security. Kondracki Celej led the Polish legal work for bValue, while Sparring supported the legal due diligence and specific U.S. aspects of the flip.
The offering is intended for founders preparing for international growth and for venture funds investing in companies with operations across jurisdictions. Its focus is a clear scope of work, agreed responsibilities and coordinated communication between the advisors and the client.
